The Company Secretary plays a vital role in ensuring that Gort Cancer Support operates in accordance with legal and regulatory requirements, and in line with best practices in governance. This role supports the Board of Directors by managing compliance, maintaining statutory records and ensuring adherence to the Charities Governance Code.

1. Governance and Compliance

  • Ensure compliance with the Charities Governance Code and relevant laws.
  • Advise the Board on governance and support best practices.
  • Maintain the Governance Handbook and policies.
  • Coordinate annual Governance Code reviews and report to the Board.

2. Board and Committee Support

  • Schedule and support Board/committee meetings, including agendas and papers.
  • Record minutes and track follow-up actions.
  • Maintain Board member records and declarations of interest.

3. Statutory and Legal Duties

  • File statutory returns with CRO and Charities Regulator.
  • Maintain statutory registers and ensure legal compliance.
  • Assist with Annual Report and Financial Statements.

4. Communication and Records Management

  • Liaise between Board, management, and stakeholders on governance.
  • Keep secure, accurate records of decisions, policies, and legal documents.
