Location Overview

The Team

The EMEA corporate secretary team is a collegial, professional group of experienced corporate secretaries and attorneys providing world-class service to management, directors, and the entities supported. The team collaborates with the global Corporate Secretary group to pursue best practices. We are located in Paris, London, and Dublin and comprise approximately 19 team members in EMEA, supporting global Corporate Secretary operations, regional legal entities, and entity eliminations. A Dublin-based team of four corporate secretaries focuses on the Irish entity and liaises with the broader London and Paris teams.

Responsibilities

Our Dublin office has an opening for a dedicated Assistant Company Secretary at Vice President level (or more senior for the right candidate) to join the growing Legal team. The role involves supporting the corporate governance and company secretarial needs of a regulated Irish bank (with some support for other European legal entities).

Our Legal department provides professional legal services to the company and its subsidiaries by addressing legal risks, providing creative solutions, and identifying opportunities for business partners. As a key control partner, we understand the businesses we support and their client, shareholder, and employee goals.

What will your key responsibilities involve?

- Assisting the corporate secretary team for a regulated Irish bank (and other regulated and unregulated European legal entities).
- Assisting in the preparation of, organisation, and follow-up of board of directors' and committee meetings, including preparing agendas, drafting resolutions, organising papers, minute taking, answering director/officer and business line enquiries, and ensuring all board decisions are executed.
- Attending Board and Committee meetings and drafting minutes or specific sections.
- Organising and maintaining Board and Committee and other governance-related documentation databases in accordance with retention requirements.
- Contributing to improving team processes, procedures, and controls.
- Oversee the following in liaison with the corporate secretary team: maintenance of statutory registers and internal record-keeping system; local and overseas filings; operation of signing authorities and delegated authorities; execution of documents including powers of attorney, certificates of incumbency, deeds, notarisation/apostille/legalisation; external company secretarial provider interactions.
- Participate in regional legal entity projects, including corporate restructuring and implementation of updated governance-related laws, rules, and regulations.
- Respond to or request information from risk management, finance, auditors, senior management, group company secretaries, and regulators.

Experience and Skills

- Degree or equivalent experience
- Experience in a financial services environment in a company secretarial or administrative capacity is preferred
- Experience with European and Irish corporate governance requirements for regulated financial services firms is preferred
- Excellent written, presentation and communication skills; strong attention to detail and accuracy
- Systematic and organised with a dedication to extraordinary service
