About this Role

We are seeking a skilled and motivated Legal Counsel to join our in-house legal team at a leading digital pathology company based in the UK/Ireland.

Responsibilities:

1. Collaborate with internal and external stakeholders to review, draft and negotiate a broad range of commercial contracts across multiple jurisdictions including master services agreements, SaaS agreements, software license agreements, contractor services agreements, non-disclosure agreements and supplier agreements.
2. Update and standardize precedents as necessary and play a key role in the management and organization of the company’s customer and supplier contracts including oversight of the contracts database.
3. Provide comprehensive, accurate and practical advice regarding various legal issues including corporate/commercial, regulatory, privacy, and IP matters.
4. Conduct and advise on a wide range of Data Protection matters relating to the business activities and the interlink in a wide range of contracts.
5. Monitor and keep abreast of legal developments and legislative changes that may impact business and company goals.
6. Structure/maintenance of intercompany agreements between various Deciphex entities.

Required Skills and Experience:

1. Bachelor’s degree in law, Legal Studies, or a related field.
2. Professionally qualified lawyer, ideally with 2 – 4 years’ PQE in the UK and/or Ireland (with experience in the US desirable but not essential) (although all relevant applications will be considered).
3. Qualified to practice law in the UK and/or Ireland/EU.
4. Ability to structure, draft and negotiate a high volume and broad range of commercial contracts.
5. Overall broad legal knowledge of technology, software, compliance, data privacy, and IP matters.
6. Ability to work in a cross-functional and geographically dispersed environment with multiple stakeholders and teams.
7. Ability to exercise independent judgment and ethical decision-making with a minimal amount of supervision.
8. Strong attention to detail and ability to effectively multi-task and adhere to many concurrent deadlines.
9. Ability to work under pressure, to prioritise effectively and provide concise, commercially driven legal advice.
10. Excellent verbal and written communication skills and attention to detail is essential.
11. Flexible and open to constant challenge and change within a fast-paced environment.

Desirable:

1. Experience working within pathology, laboratory, oncology, academic medical centres and/or clinical services.
2. Experience with Digital Pathology.
3. Familiarity with healthcare or pathology services specifically in the UK/Republic of Ireland.
4. Familiarity with clinical guidelines and regulations.
5. Familiarity with advising on AI regulations, ESG regulations and related matters.
6. Familiarity with using generative AI tools as part of the legal function to maximise efficiencies and productivity.

Work Environment:

1. This position is a work from home position; the work environment shall be considered as the user’s home working location.
2. This position will require remote collaboration with associates on GMT, Central European Time, plus US Time Zones (PST through EST).
3. On occasion, candidate may be requested to work overtime and weekends for special program events.
