Role Summary:

This is a dynamic role that requires collaboration with internal teams to address corporate, commercial, real estate, and compliance matters.

The ideal candidate will have a strong background in M&A, securities, corporate governance, and SaaS licensing/technology agreements, as well as experience advising senior leadership and working in multinational corporations or global law firms.

Responsibilities:
• Serve as a key advisor on corporate secretarial, governance, and securities matters
• Provide legal support for M&A and joint ventures, including due diligence, deal structuring, and agreement negotiation
• Support the Board of Directors and committees, assisting with governance and administration
• Draft, negotiate, and interpret contracts, including technology and licensing agreements
• Collaborate with internal teams to address corporate, commercial, real estate, and compliance matters
• Offer strategic legal advice to senior business leaders, proactively identifying risks and opportunities
• Manage and develop direct reports, fostering a positive and collaborative work environment
• Coordinate with external counsel on filings, research, and projects as needed

Requirements:


• Juris Doctor (JD) from an accredited institution and membership in at least one state bar or equivalent
• Experience: 7+ years in corporate and finance law, with at least 3 years of international exposure
