Chief Legal Officer

We are seeking a seasoned lawyer to fill the role of Corporate Counsel. As a key member of our team, you will be responsible for managing corporate governance matters, overseeing intellectual property and technology transactions, and handling commercial transactions and other legal affairs.

1. Developing Governance Documents: Prepare board minutes, resolutions, and presentations that align with our company's strategic objectives.
2. Drafting and Negotiating Agreements: Handle commercial contracts, including non-disclosure agreements (NDAs), software licenses, SaaS subscription agreements, service contracts, employment agreements, and consulting contracts that support our business strategy.
3. Evaluating Products and Initiatives: Assess legal risks associated with products, features, platforms, and initiatives, and develop effective risk management strategies to mitigate potential challenges.
4. Providing Legal Guidance: Offer expert advice to product, engineering, and other teams on identifying and protecting patentable products, services, and technologies.
5. Maintaining Legal Records: Keep an up-to-date repository of legal documents, including contracts, templates, and corporate governance materials.
6. Managing Intellectual Property: Oversee owned and licensed intellectual property, collaborating with external legal counsel on trademark and patent applications, and other IP matters.
7. Supporting Compliance and Litigation: Assist with company compliance efforts and handle litigation matters as needed.
8. Engaging with External Counsel: Communicate and collaborate with external legal counsel on legal matters when necessary.
9. Staying Informed: Stay current with relevant legal principles, practices, and trends in the industry.

• Qualified Solicitor: Hold accreditation as a qualified solicitor with 2 years of post-qualification legal experience.
• Commercial Transactions Expertise: Demonstrate experience in drafting, reviewing, and negotiating technology and other commercial transactions, including software licensing and SaaS/PaaS agreements.
• Intellectual Property Protection: Possess experience in intellectual property protection, encompassing patents, trademarks, copyright, and trade secrets.
• Writing and Editing Skills: Exhibit strong writing and editing abilities.
• Start-up Environment Enthusiasm: Display a desire to work in a start-up environment and a passion for being part of a growing company.
• Communication and Interpersonal Skills: Possess strong communication and interpersonal skills.

• IAPP/ACOI Data Protection Qualification: Hold a recognised data protection qualification from IAPP or ACOI.
• Experience with GRC and HRIS: Experience with governance, risk management, and compliance (GRC) as well as HR information systems (HRIS) and other SaaS-based technologies.
