Corporate Solicitor

We are presently in the process of seeking a Corporate Solicitor at the Associate or Senior Associate level to join the esteemed corporate team of one of Ireland's premier law firms. In this role, the successful candidate will collaborate on a portfolio of client transactions and projects, working closely with partners, solicitors, and support staff within the corporate department.

The position encompasses a diverse range of responsibilities, including:

Responsibilities:

• Drafting and negotiating share and asset sale and purchase agreements, shareholders agreements, and ancillary documents.
• Leading and completing sell-side and buy-side transactions.
• Providing company and commercial law advice.
• Drafting documents to implement intragroup re-organisations.
• Drafting and reviewing/negotiating commercial contracts.
• Willingness to attend networking and marketing events, when required.
• Handling other ad-hoc work as necessary within the corporate department.

Required Experience:

• Corporate transactional experience.
• Proficiency in company law.
• Knowledge of drafting and negotiation of corporate documents, including shareholders agreements, share purchase agreements, asset purchase agreements, and disclosure letters.
• Ability to work independently and collaboratively within a team.
• Skill in managing competing demands from a diverse client base.
• Excellent analytical skills.
• Strong interpersonal skills, capable of effective communication at all levels.
• A calm and measured approach to problem-solving.

The Candidate: The ideal candidate should be 5 years qualified with relevant work experience in the specified areas.
