This is the role you'll play:

The Assistant Director acts as a legal and strategic advisor to the Alexion Pharmaceuticals International Operations (APIO) and the AstraZeneca Ireland Limited (AZIL) Board of directors and key partner to the Company Secretary. This position will ensure that AstraZeneca Irish entities comply with their legal obligations and oversee the legal aspects of the organizations.

You will provide direct support to the Board of Directors (BoDs) of APIO and AZIL as well as other Alexion entities as required. Responsibilities include establishing a corporate governance framework for all Irish entities, supporting board meetings, offering strategic and tactical legal guidance, managing legal and business risks, developing efficient processes, and ensuring compliance with statutory obligations. Collaboration with the Alexion and AstraZeneca legal and tax teams is essential to effectively manage the intellectual property portfolio held by Irish entities, driving value creation in Ireland. Additionally, support for strategic legal initiatives in Ireland is part of the role, with a reporting relationship to the SVP, Deputy General Counsel, Alexion.

Governance

  • Enhance robust corporate governance processes for the relevant BoDs.
  • Organize and lead meetings of the Boards of Directors, working closely with the Company Secretary.
  • Engage with Board chair, members, and senior leaders to ensure agenda items meet quality standards and provide insight into upcoming decisions.
  • Support governance teams for Early and Late-Stage Portfolio Committees, ensuring proper governance for portfolio assets.
  • Review contracts and documents for compliance, facilitating Director approvals.
  • Manage business processes on behalf of APIO and AZIL.
  • Document board decisions and approvals in collaboration with the Corporate Secretary.
  • Coordinate with various teams to support IP portfolio management for APIO & AZIL.
  • Collaborate with the Company Secretary on legal entity management, reporting, and compliance matters.

Legal

  • Oversee external legal counsel and advisors for relevant accountabilities.
  • Stay informed on legislative and regulatory changes, providing valuable advice on potential impacts to senior stakeholders.
  • Advise on business activities, liaise with external bodies, and maximize available supports.
  • Support API build projects in Ireland, offering legal guidance on various aspects.
  • Partner internally to address legal queries and ensure regulatory compliance.
  • Manage legal risks associated with the entity.

Business Operations & Corporate Strategy

  • Collaborate with key business leaders to ensure quality business cases for the Boards.
  • Provide strategic support for internal and external engagement in Ireland.
  • Lead on-ground initiatives to maximize value for AstraZeneca and Alexion.

Qualifications & Skills:

  • Qualified Solicitor in Ireland.
  • Strong interpersonal and communication skills.
  • Ability to engage with executive stakeholders.
  • Pharmaceutical industry experience desired.
  • Intellectual Property experience beneficial.
  • Negotiation and analytical skills.
  • Strong business judgement and strategic thinking.
