Corporate Counsel - Legal & Compliance
Location: Ireland, Hybrid

At Signant Health, we're passionate about improving clinical research through innovation. We are seeking a Corporate Counsel to join our Legal & Compliance team. This is a dynamic role focused on corporate secretarial/governance, securities matters, and supporting our mergers and acquisitions (M&A) growth strategy. You'll work closely with senior leaders, providing strategic legal advice on a wide range of topics while driving key business initiatives.

Key Responsibilities
  • Serve as a key legal advisor on corporate secretarial, governance, and securities matters.
  • Provide legal support for M&A and joint ventures, including due diligence, deal structuring, and agreement negotiation.
  • Support the Board of Directors and committees, assisting with governance and administration.
  • Draft, negotiate, and interpret contracts, including technology and licensing agreements.
  • Collaborate with internal teams to address corporate, commercial, real estate, and compliance matters.
  • Offer strategic legal advice to senior business leaders, proactively identifying risks and opportunities.
  • Manage and develop direct reports, fostering a positive and collaborative work environment.
  • Coordinate with external counsel on filings, research, and projects as needed.
What You'll Bring
  • Education: Juris Doctor (JD) from an accredited institution and membership in at least one state bar or equivalent.
  • Experience:
    • 7+ years in corporate and finance law, with at least 3 years of international exposure.
    • Strong background in M&A, securities, corporate governance, and SaaS licensing/technology agreements.
    • Experience advising senior leadership and working in multinational corporations or global law firms.
  • Skills:
    • Exceptional problem-solving and analytical abilities.
    • Strong written and verbal communication skills.
    • Business-minded approach with sound judgment and ability to manage ambiguity.
