What Is The Role
Corporate Governance team operates in a fast-paced environment at the centre and highest levels of AIB's corporate governance structure, working to support the Board of Directors, the CEO and the Executives. We strive to achieve the hallmarks of strong corporate governance - transparency, integrity, fairness, accountability and compliance. Our purpose is to help our colleagues, who in turn deliver for AIB's customers, by ensuring a simple, efficient & compliant corporate governance structure in support of the Board and Executives.

The Corporate Governance Manager’s primary responsibility will be to act as Group Risk Committee Secretary, providing end-to-end corporate governance and secretariat support, ensuring the Committee operates effectively, in line with its Terms of Reference, and the Group’s strategic priorities. The Secretary plays a key role in promoting good governance practices and working effectively with the Chair and key stakeholders. In addition, the Corporate Governance Manager will be required to support the wider team in executing Corporate Governance projects and initiatives, as required and will report directly to the Board Risk Committee Secretary.

Key Accountabilities

The Committee Secretary will provide end to end corporate governance and secretariat support to the Group Risk Committee, including the following:

Schedule and coordinate GRC meetings.

Prepare and manage agendas, meeting papers, and supporting documentation in line with governance standards

Attend Committee meetings and produce comprehensive and fit for purpose minutes.

Track and follow up on action items and decisions to ensure timely execution.

Maintain and review the Committee’s Terms of Reference (ToR) bi-annually or as required.

Support Committee Effectiveness Evaluations and continuous improvement initiatives.

Ensure compliance with internal governance policies and external regulatory requirements (e.g. SEAR, SM&CR, UK Corporate Governance Code).

Act as a point of contact for queries related to GRC governance and documentation.

Collaborate with the Risk function to ensure alignment of work programmes and strategic risk priorities.

Build strong working relationships with the Chair, Committee members, presenters, and key stakeholders.

Work closely with the broader Corporate Governance team and provide input into initiatives and projects as required.

What You Will Bring

Minimum 5 years’ experience in risk, compliance, corporate governance or company secretarial within financial services or a regulated entity.

Part qualified or ICSA qualified is advantageous.

Demonstrates the ability to work in a fast paced environment, learn quickly, adapt to change and work both independently and collaboratively within a team.

Excellent attention to detail along with strong interpersonal, influencing and communication skills.

Builds and maintains effective working relationships with colleagues and key stakeholders.

Proactively identifies opportunities to enhance existing processes and confidently leads improvements through to successful implementation.

Handles highly sensitive information and materials with discretion and confidentiality.

Consistently delivers high-quality service and engages effectively with stakeholders at all levels.

Applied a systematic and organised approach to management of workload, demonstrating effective prioritisation, time management and adaptability in rapidly developing situations.

Strong proficiency in MS Office and PowerPoint.
