The Role

The Head of Governance and Risk will be responsible for developing and implementing governance policies and procedures to ensure compliance with regulatory requirements.

Duties Include:

  1. Manage the AML/CTF/Sanctions compliance function to mitigate risks and ensure regulatory requirements are met.
  2. Oversee the annual AML/CTF/Sanctions Business Risk Assessment and ensure corresponding policies and procedures are in place.
  3. Develop and implement governance monitoring programs to ensure compliance with regulatory requirements.
  4. Collaborate with senior management to ensure governance policies and procedures are aligned with business objectives.
  5. Recommend Action Plans and be able to implement recommendations.
  6. Develop and maintain the Governance Risk Assessment for your business area, as appropriate.
  7. Develop and maintain an annual Governance Monitoring Plan for your business area, as appropriate.

Governance Advice, Issue Identification/Escalation, and Business Planning

  1. Collaborate with senior management on changes to business procedure relative to governance policies.
  2. Ensure ongoing maintenance of governance procedures and ensure procedures are complete and up-to-date.
  3. Identify regulatory issues impacting local business and work closely with business to resolve issues.
  4. Identify AML/CFT/Sanction regulatory issues impacting local business and work with Global Financial Crimes Compliance Department on impact.
  5. Liaise with Risk Management on related matters to ensure appropriate second line of defense coordination.
  6. Assist in provision of sound technical advice to business as required together with solutions to complex regulatory issues.
  7. Recommend Action Plans and be able to implement recommendations.

Governance Problem Resolution

  1. Independently identify and resolve problems following established guidelines.
  2. Execute complex tasks and analyses including discussing proposed resolution with Governance management.
  3. Communicate governance and regulatory requirements to management.
  4. Proactively identify trends in recurring governance violations and inquiries and collaborate with team members to improve governance procedures and processes.

Governance Team, Supervision, Training, Management, and Business Training

  1. Oversee delegation of day-to-day work to employees of Dublin Governance team as necessary.
  2. Prepare training materials and undertake employee training to business.
  3. Ensure training topics reflect current Governance focus and training material is updated to reflect regulatory changes.
  4. Provide training and support to other members of Governance team.

Governance Monitoring

  1. Work with team members to ensure governance monitoring program remains on track and relevant governance processes have been documented.
  2. Responsible for following up and closing out outstanding action points identified through governance monitoring program.
  3. Undertake governance monitoring program as required.
  4. Review and document findings from governance monitoring program including completing all working papers, notes of meetings, visit summaries, and other governance monitoring documentation in line with governance monitoring framework.
  5. Review reports on findings prior to distribution to business managers.
  6. Ensure governance monitoring control schedules are updated on a timely basis.
  7. Develop and maintain Governance Risk Assessment for your business area, as appropriate.
  8. Develop and maintain an annual Governance Monitoring Plan for your business area, as appropriate.
  9. Ensure liaison with Internal Audit when planning governance monitoring.

Governance Operations

  1. Complete governance operations processes as required.
  2. Seek to eliminate bureaucracy and enhance efficiency.
  3. Analyze Governance team workflows to maximize operational efficiency.
  4. Compare your local Governance procedures with current regulatory requirements to implement any new technology that the department requires.

REQUIREMENTS:

  1. Business/Finance/Law Degree and/or equivalent work experience.
  2. 10+ years business or compliance experience (existing PCF role holder an advantage).
  3. Proven leadership skills.
  4. Strong written and oral communication skills.
  5. Proven technical compliance knowledge in respect of Irish Fund Service Provider regulatory compliance.
  6. Capable of executing a range of complex tasks and analyses.
  7. Ongoing compliance with the Central Bank of Ireland's Fitness & Probity requirements.
  8. Expertise in the financial services industry and current regulatory requirements as they relate to the Fund industry, incl. Alternatives Funds, related support function including depositary services.
  9. Expertise of applicable Ireland banking or fund laws and regulation (as opposed to understanding/following procedure).
  10. Experience and knowledge of rules and standards including AML/KYC, Data Protection, Outsourcing, and Anti-Fraud laws and regulations.
  11. Client/Regulators-facing skills and experience will be an advantage.
