Corporate Governance Senior Associate

About the Role:

This is a newly created senior associate position that will work closely with an equity Corporate Partner, a Partner, two other corporate senior associates, two associates, and two junior solicitors.

You will lead your own team within this specialized department, guiding its development under your supervision.

The ideal candidate should have 4 years of corporate experience, preferably from a top or mid-tier law firm, and possess strong transaction management skills.

This opportunity allows a strong and ambitious corporate lawyer to develop their company law expertise in a client-facing role while advancing their career and maintaining a healthy work-life balance.

  • Providing company law and corporate governance advice on shareholder and board matters, company capital, capital maintenance, financial assistance, transactions with directors, and similar.
  • Understanding clients' corporate structuring needs and designing the reorganisation framework and steps to achieve their desired structure, advising on company law implications and rules to be navigated.
  • Interpreting reorganisation plans prepared by other advisers and advising on company law implications of the steps.
  • Liaising with colleagues to input into reorganisation plans as appropriate, particularly tax, and managing their input.
  • Implementing reorganisation projects, including project management of the steps, preparation and management of legal step plans and documents lists, and coordinating completion.

A suitable candidate for this role should possess exceptional corporate governance knowledge and excellent communication skills, enabling them to effectively interact with clients and colleagues alike.

Key Responsibilities:

Advise on Company Law Matters

We are seeking a senior associate to advise on company law and corporate governance matters. The ideal candidate should have strong transaction management skills and be able to provide expert advice on shareholder and board matters, company capital, capital maintenance, financial assistance, transactions with directors, and similar.

Design Reorganisation Frameworks

The successful candidate will design reorganisation frameworks and steps to achieve clients' desired structure, taking into account company law implications and rules to be navigated.

Lead Team Projects

You will lead team projects, including project management of the steps, preparation and management of legal step plans and documents lists, and coordinating completion.
