Overview:

Ensuring that all statutory, legal, and contractual obligations are met for registered companies in Ireland and other jurisdictions. Responsible for managing governance and corporate services duties for a portfolio of companies, maintaining database entries, handling corporate administration tasks, and providing support to senior management.

Primary Responsibilities:
  • Manage statutory and transactional obligations of financial deals and client groups.
  • Act as the main point of contact for client company secretarial matters.
  • Develop and manage Company Statutory Registers, update database records, and coordinate with internal and external parties to ensure compliance.
  • Maintain internal trackers and spreadsheets, provide training on company secretarial obligations, review financial statements, and prepare necessary documentation.
  • Assist in drafting annual reports, company materials, and attending company meetings.
  • Provide registered office duties, stay informed about industry issues, and oversee company wind-up and liquidation.
  • Supervise Share Trust compliance, junior colleagues, and ensure adherence to risk and regulatory standards.
  • Promote diversity, maintain internal control standards, and fulfill other assigned duties.
Scope of Responsibilities:

This role will act as the senior Corporate Secretariat officer in Ireland.

Supervisory/Managerial Responsibilities:

No supervisory duties.

Education and Experience Required:
  • At least 6 years of higher education and/or work experience with a minimum of 4 years in Corporate Services and Structured Finance.
  • Prior experience in Irish legal entities administration and management, proficiency in personal computers, knowledge of Ireland company law, client service skills, meeting deadlines, prioritizing workload, and strong communication skills.
  • ICSA (Chartered Governance Institute UK and Ireland) Qualification.
Education and Experience Preferred:
  • Minimum 3 years of relevant experience in Irish legal entities management.
