Erikoo Job Title: Funds Governance Professional

We are seeking an experienced funds governance professional to join our team. As a key member of our organization, you will be responsible for managing a portfolio of clients, including regulated funds, SPVs, and operating entities.

About the Role

The successful candidate will oversee all legal and company secretarial functions for client companies, prepare and circulate board packs, and organize, manage, and attend board and committee meetings. They will also ensure the timely submission of all necessary regulatory and statutory filings and maintain statutory books and records.

Responsibilities

  • Manage a portfolio of clients independently, including regulated funds, SPVs, and operating entities.
  • Oversee all legal and company secretarial functions for client companies.
  • Prepare and circulate board packs, including drafting agendas, compiling reports, and ensuring timely distribution to stakeholders.
  • Organize, manage, and attend board and committee meetings, recording accurate minutes and distributing action points.
  • Ensure the timely submission of all necessary regulatory and statutory filings.
  • Maintain statutory books and records, ensuring they are up-to-date.
  • Facilitate transactions such as capital increases, participations, dividend distributions, and loan arrangements.
  • Provide expert advice and respond to client and prospect inquiries.
  • Support Directors, committee members, junior team members, and Designated Persons.
  • Provide company secretarial coverage for team members as required.
  • Advise on compliance with the Companies Act 2014 and CBI regulatory requirements for funds.

Requirements

The successful candidate will possess a university degree, a qualified Chartered Governance Institute (CGI) professional – ACG/FCG, and a minimum of 5 years of relevant company secretarial experience. Strong experience in detailed minute-taking, a background in funds company secretarial and/or in-house governance, and good knowledge of CBI regulatory requirements for funds are also essential.
