As a corporate governance professional, you will play a pivotal role in enhancing the effectiveness of our Irish group's governance framework.

About the Role

This is an exciting opportunity for a highly skilled and experienced company secretary to join our team. You will be responsible for providing strategic support to our boards, ensuring compliance with legal and regulatory requirements, and driving the development and implementation of corporate governance practices across our Irish group.

Key Responsibilities
  • Lead the development and implementation of corporate governance practices, including advising on best practices and emerging trends.
  • Organize and facilitate board and committee meetings, ensuring well-structured agendas and timely distribution of documentation.
  • Provide strategic advice on governance issues, risk management, and decision-making processes.
  • Maintain statutory records and minute books, ensuring compliance with CRO filing obligations.
  • Support intra-group projects, including liquidations, cash repatriation, intra-group restructuring, and capital reorganizations.

Requirements:

  • University undergraduate degree or equivalent qualification essential.
  • Understanding of regulatory environment with experience working in regulations/guidance issued by Central Bank of Ireland and other EU authorities.
  • Extensive experience in company secretarial role with strong understanding of corporate governance principles.
  • Proven ability to support and advise boards effectively with excellent communication and interpersonal skills.
  • Strong organizational skills with attention to detail and ability to manage multiple priorities and deadlines.
